Terms of Service

1. Agreement

These terms are an agreement between you and [Legal entity name], [Registered address], the Netherlands, KvK number [KvK number], VAT number [VAT number (NL…B01)] (“Marpitch”, “we”, “us”). By creating an account or using Marpitch, you accept them. If you use Marpitch for a company, you confirm that you may accept these terms on its behalf.

2. The service

Marpitch is an AI co-founder for early-stage founders. With Marpitch you can:

• talk to Morphi, which builds your Business Brain from what you say;
• get a proposed mission: a small, real test with your own customers, set out in a contract you sign;
• use the Validation Agent to prepare the message, the questions and what to note. It never contacts anyone on your behalf;
• record what happened, with a verdict computed by your contract’s rule;
• create living documents, such as a business brief, PRD, pitch deck and Lean Canvas, from your Business Brain.

We may improve, change or remove features over time. If a change takes away something important you pay for, we will tell you in advance.

3. Your account

• You must be at least 18 years old and give accurate account details.
• Keep access to your email secure: sign-in codes are sent there.
• You are responsible for what happens in your account.
• Marpitch is meant for business use, one account per person.

4. AI output may be wrong — you decide

Morphi and the Validation Agent use AI. Their output can be incomplete, out of date or wrong. Marpitch shows what is confirmed, assumed or recommended, but you are responsible for checking what matters and for the decisions you make.

Marpitch does not give legal, tax, financial or investment advice. A document marked “investor-ready” means the evidence you recorded supports it, not that it is guaranteed to be accurate or to raise money.

5. Messages you send to your customers

Marpitch prepares messages and questions, but you decide whether to send them, to whom and how. You are responsible for those messages and for following the laws that apply to them, including rules on consent, direct marketing and data protection.

When you add information about other people, such as your customers’ names or replies, make sure you are allowed to share it. For that data you act as the controller and we process it on your behalf to provide the service. A data processing agreement is available on request: [Data processing agreement].

6. The private pilot, and paid plans later

• During the private pilot, Marpitch is free and we do not collect payment details. You can see what the pilot includes on our pricing page.
• Before paid plans apply to you, we will tell you at least 30 days in advance, with the plan, the price and how billing works, and these terms will be updated to describe them.
• If you then decide not to subscribe, your account becomes read-only: you keep your Business Brain and documents and can export them; Morphi pauses, and no new missions or updates can be made.
• If you are a consumer, the laws of your country may give you additional rights, such as a right of withdrawal. Nothing in these terms limits them.

7. Acceptable use

Do not use Marpitch to:

• break the law or infringe the rights of others;
• send spam, mislead people or collect personal data without a lawful basis;
• upload malware or content you have no right to share;
• try to access other accounts, disrupt the service, or get around usage limits or security;
• scrape, copy or resell the service, or use it to build a competing product;
• break the usage policies of our AI model providers.

8. Your content and our rights

You own your content: your messages, files, business data, evidence and the documents created for you. You give us a limited, non-exclusive licence to host, copy, process and transmit your content (including to the processors listed in our Privacy Policy) only to provide and secure the service for you. This licence ends when your content is deleted.

We own Marpitch itself: the software, design and brand. If you send us feedback, we may use it without any obligation to you.

9. Privacy

Our Privacy Policy explains how we handle personal data. You can export your data at any time from your Account page.

10. Availability

We work to keep Marpitch available and reliable, and we show its current state on our status page. The service is provided “as is” and “as available”; we do not promise it will be uninterrupted or error-free.

11. Limitation of liability

To the extent the law allows:

• we are not liable for indirect or consequential losses, lost profits, lost revenue, or losses from business decisions you make based on the service or its AI output;
• our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, or [Minimum liability amount] if that is higher.

Nothing in these terms limits liability for intent or gross negligence, for death or personal injury caused by negligence, or any other liability that cannot be limited by law.

12. Suspension and termination

You can stop using Marpitch and delete your account at any time. We delete your data within 30 days, so export anything you want to keep first.

We may suspend or close your account if you seriously or repeatedly break these terms, or if the law requires it. Where reasonable, we will warn you first and give you a chance to export your data.

13. Changes to these terms

If we change these terms in a way that matters, we will tell you by email or in the product at least 30 days before the change takes effect. If you do not agree, you can cancel and delete your account before then.

14. Governing law

These terms are governed by Dutch law, and the competent court in [Court location, e.g. Amsterdam], the Netherlands, has jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring a claim there.
